ACCC clears Cleanaway’s proposed acquisition of Contract Resources

Australia’s competition watchdog will not oppose Cleanaway Waste Management’s proposed acquisition of Contract Resources Group.

Australia’s competition watchdog has announced it will not oppose Cleanaway Waste Management’s proposed acquisition of Contract Resources Group, clearing the way for the deal to proceed.

The Australian Competition and Consumer Commission (ACCC) reviewed the proposed merger, which would see Cleanaway—one of the nation’s largest waste and industrial service providers—take over Contract Resources, a company specialising in complex industrial services, particularly in the oil and gas sector.

While both companies operate in the industrial cleaning and maintenance space, the ACCC concluded that the acquisition is unlikely to significantly reduce competition in either industrial services or waste management markets.

“Cleanaway and Contract Resources compete mainly for customers in the oil and gas sector,” said ACCC Commissioner Dr Philip Williams. “These customers are generally large, well-resourced organisations that could sponsor new entry or the expansion of existing rival suppliers.”

Contract Resources provides specialist services such as catalyst handling and other high-risk, technically complex operations that Cleanaway does not currently supply. Where their service offerings do overlap, the ACCC found there are still sufficient competitors in the market, and that customers could bring in new suppliers if needed.

The ACCC also examined whether Cleanaway might attempt to bundle waste management contracts with Contract Resources’ industrial services, creating pressure for customers to take both. The review concluded that such a strategy would be commercially unviable, given the availability of alternative providers.

“Overall, we did not find that the proposed acquisition is likely to substantially lessen competition in the supply of industrial services or waste management services,” said Dr Williams.

For cleaning, maintenance and waste sector stakeholders, the outcome signals stability in the competitive landscape, while potentially expanding Cleanaway’s service capacity in high-risk industrial environments.
